SARL Morocco 2026: Cost, Capital and Steps to Register One

A SARL Morocco setup looks simple on paper: one form, a few signatures, a registered company. Then the questions pile up. How much capital, how much will it really cost, what about tax, and is a local company even the right tool if you only want to pay one person or work remotely?

A SARL Morocco company is a limited liability company with 1 to 50 partners and a share capital the founders set freely in the articles. With a single partner it's called a SARL AU. Official registration fees run roughly 1,500 to 2,500 MAD, before advisor fees.

If your real goal is to hire or pay someone in Morocco, a company may be the slow route. Our EOR versus local entity comparison shows when you can skip incorporation entirely and when you can't.

What is a SARL in Morocco, and what changes with a SARL AU?

A SARL is the standard private company in Morocco: partners are liable only up to what they contribute, and the law caps their number at 50 (article 47 of Law 5-96). When one person holds everything, the law speaks of a sole partner (article 44), and the company name must say so: SARL AU.

Limited liability isn't a force field. Banks often ask founders for a personal guarantee in the first years, and managers can still be held liable for management faults. But your personal assets aren't automatically on the line for company debts, which is the whole point of the structure.

Article 45 also requires business documents (invoices, letters, quotes) to show the legal form, the capital, the registered office and the trade register number. Small detail, yes, though procurement teams at larger clients do check it.

How much capital does a SARL Morocco company need in 2026?

None is required by law any more. The original 1997 text demanded 100,000 MAD; after the reform, article 46 now says the capital "is freely set by the partners in the articles". Specialist guides date the change to Law 24-10 of 2011.

Free doesn't mean 1 dirham. A token capital looks thin to a bank or a large customer and runs out with the first invoice you pay. Accountants usually size it on the cash you need for the first six months. Above 100,000 MAD, the funds have to be blocked in a bank account before registration (article 51, as reworded in the government's reform draft).

How much does it cost to set up a SARL Morocco company?

Official fees come to about 1,500 to 2,500 MAD for a standard incorporation, according to two professional guides that agree within a few hundred dirhams. An accountant's or lawyer's fee comes on top, and it varies a lot, so get three quotes.

Stamp duty on the articlesabout 20 MAD per sheet

Only the 230 MAD certificate is confirmed on the official procedures portal. The other amounts come from professional guides that don't fully agree, so check each line with your regional investment centre before you budget.

The recurring cost matters more. A SARL needs double-entry bookkeeping, annual accounts, regular tax filings and, in practice, a chartered accountant on retainer.

What are the steps to register a SARL in Morocco?

The sequence is fixed, and skipping a step blocks the next. Through the regional investment centre's one-stop shop, expect one to four weeks depending on how complete your file is, based on the two guides we checked.

  1. Reserve the company name with the negative certificate at OMPIC (ID of the future manager or a partner, request form, 230 MAD in cash).
  2. Draft and sign the articles, then have them registered and stamped.
  3. Block the capital in a bank if it exceeds 100,000 MAD.
  4. Get the tax identifier and business tax registration, then the trade register entry, which also issues the ICE number.
  5. Publish the legal notice and the Official Bulletin announcement.
  6. Register with CNSS at the first hire, which includes you if you pay yourself a salary.

One trap for freelancers: the old self-employed status must be closed before the company is registered, or two structures overlap on the same activity. Our guide on deregistering as a self-employed contractor and choosing a SARL or EOR covers that order of operations.

Which tax does a SARL pay compared with a self-employed contractor?

A SARL pays corporate income tax at 20% of net taxable profit while that profit stays under 100 million MAD, and 35% above, according to the 2026 finance law as tax sources summarise it. A self-employed contractor in services pays 1% of cash collected, with no deduction for costs.

Take an example: a consultant collects 280,000 MAD a year with 130,000 MAD of costs. As a self-employed contractor she'd already be over the 200,000 MAD services cap. In a SARL, a 150,000 MAD profit means 30,000 MAD of corporate tax, before whatever she pays herself as salary or dividends (illustrative figures only).

A minimum contribution adds one more line: 0.25% of turnover excluding VAT, with a floor of 3,000 MAD, due even in a loss year. New companies are exempt for their first 36 months according to two tax guides, which eases the start but not what follows.

The self-employed cap and the exit rule after two years over the limit come from Law 114-13. Our self-employed key figures list them with sources.

What does a SARL manager get in social protection?

Specialist guides state that a paid manager is registered with CNSS and AMO whatever their share of the capital, while a manager who takes no pay isn't registered and loses health cover. So the salary versus dividends choice isn't only a tax question.

That's a shift from the self-employed regime, where cover is thinner. Paying yourself a salary costs contributions, employer and employee side, but it buys rights closer to an employee's. Run it with your accountant on real numbers, because the right answer moves with income and family situation.

When does a SARL beat staying self-employed?

A company makes sense when the activity is lasting, turnover regularly passes the cap, you have partners, or you plan to hire. It makes less sense for a solo consultant with two or three clients, where a light structure does the job.

Three signals help. First, going over the services cap two years in a row, which ends the self-employed status (see our page on the self-employed 500,000 MAD cap). Second, one client making up most of your revenue. Third, wanting to keep profit inside the company instead of paying it all out.

And for you, in practice?

A SARL isn't the only exit after the cap. An umbrella company puts you on an employment contract with no company to create: no capital, no annual accounts, no accountant to pay. In return the umbrella firm charges a management fee on each invoice, and you don't keep profit in a structure.

An honest rule of thumb: a SARL works if you can see several years ahead, have costs to deduct and want to invest. An umbrella company works if you mostly bill long assignments to foreign clients and would rather delegate the paperwork. Compare the three on SARL, umbrella company or self-employed, then price the SARL with a real accountant quote over twelve months.

If you're a foreign company rather than a freelancer, the question flips: do you need to incorporate at all? Talk to a WEEPO advisor with your headcount and timeline, and you'll know within one call whether a local entity or an employer of record fits.

What to do this week

Add up your last twelve months of income or your hiring plan, ask two accounting firms for incorporation quotes, check official fees with the regional investment centre, then compare annual net in a SARL, an umbrella company and self-employment. A status decision belongs on a spreadsheet, not on a hunch.

FAQ

What is the minimum capital for a SARL in Morocco?

There's no legal minimum any more. Article 46 of Law 5-96, as amended, lets the partners set the capital freely in the articles. A token amount looks weak to banks and clients, though, and above 100,000 MAD the funds must be blocked in a bank account before registration.

What's the difference between a SARL and a SARL AU?

A SARL AU is a SARL with a single partner. The legal framework is the same (Law 5-96), but one person takes the decisions a partners' meeting would otherwise take. The mention SARL AU has to appear on documents sent to third parties, including invoices.

How much does it cost to register a SARL in Morocco?

Official fees run roughly 1,500 to 2,500 MAD according to two professional guides: the 230 MAD OMPIC negative certificate, trade register fees, stamp duty and legal notices. Accountant or lawyer fees are extra and vary a lot between firms, so compare quotes.

Can a foreign company hire in Morocco without a SARL?

Yes. An employer of record employs the worker locally on your behalf, so you don't have to incorporate. That route is usually faster and lighter for a small team, while a local company makes more sense for a lasting operation with many staff.

What corporate tax does a SARL pay in Morocco in 2026?

Corporate income tax is 20% of net taxable profit under 100 million MAD and 35% above, according to the tax sources we checked. A minimum contribution of 0.25% of turnover, with a 3,000 MAD floor, applies after a 36 month exemption for new companies.
